Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of WoundScore.com and any WoundScore subscription plan (collectively, the "Service"). The Service is provided by AppleSoft Medical Solutions and Zentric AI, operating as the WoundScore partnership ("WoundScore," "we," "us," or "our").

By creating an account or purchasing a subscription, you agree to these Terms. If you are entering into these Terms on behalf of a healthcare organization, agency, or employer, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not create an account or use the Service.

2. The Service

WoundScore provides AI-assisted wound assessment software for licensed healthcare clinicians, including nurse practitioners, physician assistants, and home health agency staff. The Service includes access to the WoundScore clinical application and related documentation tools based on the subscription plan you select.

We may update, modify, or discontinue features of the Service at any time. We will give you reasonable advance notice of any material changes that affect your core subscription benefits.

3. Eligibility

You must be at least 18 years old and a licensed healthcare professional or authorized staff member of a licensed healthcare organization to use the Service. By creating an account, you represent that you meet these requirements.

4. Accounts

You are responsible for keeping your account credentials secure. You must notify us promptly at support@woundscore.com if you suspect unauthorized access to your account.

Each subscription plan covers a specified number of clinician seats. You may not share credentials between users or exceed the seat limit of your plan without upgrading your subscription.

5. Subscription Plans and Pricing

Solo Practitioner
Introductory rate (months 1-2): $149/month
Standard rate (month 3 and beyond): $199/month
Seats: 1 clinician

Small Agency
Introductory rate (months 1-2): $374/month
Standard rate (month 3 and beyond): $498/month
Seats: Up to 5 clinicians

Agency Plus
Introductory rate (months 1-2): $671/month
Standard rate (month 3 and beyond): $895/month
Seats: Up to 10 clinicians

All plans are billed monthly. Prices are in US dollars and do not include applicable taxes.

6. Trial Period

New accounts receive a 60-day trial at the introductory rates listed in Section 5. No credit card is required to start your trial.

At the end of your 60-day trial, your subscription will not activate automatically. You must actively choose a plan and enter payment information to continue using the Service after the trial period ends.

7. Introductory Pricing and Rate Transition

The introductory rates listed in Section 5 apply for the first two full billing months after your trial ends (months 1 and 2 of your paid subscription). Beginning with month 3, your subscription automatically transitions to the standard rate for your plan.

We will send you an email notification at least 14 days before your rate transitions from the introductory rate to the standard rate, using the email address on your account. The notification will include your standard rate, the transition date, and instructions for canceling if you do not wish to continue at the standard rate.

8. Billing and Auto-Renewal

Your subscription renews automatically each month on the same calendar date your paid subscription began ("Renewal Date"). We will charge your payment method on file through Stripe on each Renewal Date.

By providing payment information and activating a paid subscription, you expressly authorize WoundScore to charge your payment method on a recurring monthly basis until you cancel.

We will send you a billing reminder at least 3 days before each Renewal Date. Your invoice and payment confirmation will be emailed to the address on your account.

If a payment fails, we will notify you and attempt to process the charge again. If payment cannot be collected after reasonable attempts, we may suspend or terminate your account.

9. Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@woundscore.com. No phone call or explanation is required.

Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the last day of the period you have already paid for. We do not issue prorated refunds for partial billing periods.

To avoid being charged for the next billing period, you must cancel before your Renewal Date.

10. Refunds

Subscription fees are non-refundable except where required by applicable law or at our sole discretion in cases of documented billing error. If you believe you were charged in error, contact billing@woundscore.com within 30 days of the charge.

11. License Grant

Subject to your compliance with these Terms and timely payment of subscription fees, WoundScore grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription period, solely for your internal clinical documentation purposes within the scope of your plan.

You may not:

Sublicense, resell, or transfer access to the Service to any third party
Reverse engineer, decompile, or attempt to extract source code from the Service
Use the Service to build a competing product or service
Access the Service by automated means without our express written permission
Use the Service in any way that violates applicable law or regulation

All rights not expressly granted here are reserved by WoundScore and its licensors.

12. Acceptable Use

You agree to use the Service only for lawful clinical documentation purposes and in compliance with all applicable federal and state laws, including HIPAA where applicable. You are responsible for ensuring that your use of the Service and any data you enter complies with your organization's legal and regulatory obligations.

You may not use the Service to:

Process data in a manner that violates patient privacy rights
Harass, harm, or defraud any person
Introduce malicious code, conduct denial-of-service attacks, or attempt to gain unauthorized access to any system

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

13. Patient Data and HIPAA

WoundScore.com does not handle Protected Health Information. The WoundScore clinical application is operated by AppleSoft Medical Solutions. Healthcare organizations that are HIPAA covered entities must execute a Business Associate Agreement with AppleSoft Medical Solutions before using the clinical application to process patient data. A BAA template is available at woundscore.com/legal/baa.

You are responsible for ensuring that your use of the clinical application complies with HIPAA and any other applicable privacy regulations governing your practice or organization.

14. Intellectual Property

WoundScore, the WoundScore logo, and all related technology, AI models, documentation, and content are owned by AppleSoft Medical Solutions and Zentric AI or their licensors. Nothing in these Terms transfers any ownership interest to you.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback without any obligation to you.

15. Confidentiality

You may receive access to non-public information about the Service, including pricing structures, product roadmaps, or technical documentation shared in the course of your relationship with us. You agree to keep such information confidential and not to disclose it to third parties without our written consent.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WOUNDSCORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE AI-ASSISTED ASSESSMENTS GENERATED BY WOUNDSCORE ARE INTENDED TO SUPPORT CLINICAL DOCUMENTATION AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT. CLINICIANS REMAIN SOLELY RESPONSIBLE FOR PATIENT CARE DECISIONS.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOUNDSCORE AND ITS PARTNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO WOUNDSCORE IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless WoundScore, AppleSoft Medical Solutions, Zentric AI, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any patient data or clinical content you submit through the Service.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

You waive any right to participate in a class action lawsuit or class-wide arbitration against WoundScore.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to updated Terms, you may cancel your subscription before the effective date.

21. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we discontinue the Service. We will give you reasonable notice except where immediate termination is necessary to protect the security or integrity of the Service or other users.

Upon termination, your license to use the Service ends immediately. Sections 11, 14, 16, 17, 18, and 19 survive termination.

22. Entire Agreement

These Terms, together with our Privacy Policy and HIPAA Statement, constitute the entire agreement between you and WoundScore regarding the Service and supersede any prior agreements or understandings on the same subject.
